Terms of Service

These Terms of Service ("Terms") govern access to and use of the AskOpenly platform, website, and related services (collectively, the "Services") provided by AskOpenly ("AskOpenly", "we", "us"). By accessing the Services or entering into an order form or agreement that references these Terms, you ("Customer", "you") agree to be bound by them.
1. Accounts and access
Access to the Services is provided on an invitation and subscription basis. You are responsible for maintaining the confidentiality of credentials issued to you and for all activity that occurs under your account. You agree to notify us promptly of any unauthorized use. Demo and evaluation access may be granted at our discretion and may be revoked at any time.
2. Subscriptions, fees, and billing
Paid plans are billed in advance on the cadence stated in your order form (typically annually). Fees are non-refundable except as required by law or expressly stated in your agreement. Usage above included allowances may incur overage charges at the rates then in effect. We may change plan pricing on renewal with prior notice.
3. Acceptable use
You agree not to, and not to permit any user to:
- use the Services in violation of applicable law or third-party rights;
- upload content you are not authorized to process, or unlawful content;
- attempt to gain unauthorized access to the Services or other customers' data;
- reverse engineer, resell, or provide competitive analysis of the Services except as permitted by law; or
- use the Services to build a competing product.
4. Customer data and content
As between the parties, you retain all rights to the documents, data, and content you submit to the Services ("Customer Data"). You grant us a limited license to process Customer Data solely to provide and support the Services. Our handling of personal data is described in our Privacy Policy. For self-hosted and VPC deployments, Customer Data remains within your environment.
5. Intellectual property
The Services, including all software, models integration, and documentation, are and remain our property and that of our licensors. No rights are granted except as expressly set out in these Terms. Feedback you provide may be used by us without restriction.
6. Confidentiality
Each party may access confidential information of the other. The receiving party will protect such information with reasonable care and use it only to perform under these Terms.
7. Warranties and disclaimers
The Services are provided "as is". AskOpenly is an aid to knowledge work and may produce outputs that are incomplete or inaccurate; you are responsible for reviewing outputs before relying on them. To the maximum extent permitted by law, we disclaim all implied warranties, including merchantability and fitness for a particular purpose.
8. Limitation of liability
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, or consequential damages, and each party's aggregate liability arising out of the Services will not exceed the fees paid by you in the twelve months preceding the claim.
9. Term and termination
These Terms remain in effect while you use the Services. Either party may terminate for material breach not cured within 30 days of notice. Upon termination, your right to access the Services ceases and, on request, we will make Customer Data available for export for a limited period before deletion.
10. Changes and contact
